Acceptable Use Policy

Leapwork ("we") are committed to providing our Customers ("you") with the best experience and ensure the security, reliability, legality, and availability of our Products. As such, we have created this Acceptable Use Policy ("AUP") which you must adhere to when using the Leapwork Products. The purpose of this AUP is to provide guidelines for your use of the Products and to specify the types of activities that are prohibited under the Products Permitted Usage. References to "you", "your", or "Customer" in this AUP shall include your employees, contractors, agents, authorized representatives, Affiliates, Named Users or similar that access our Products on your behalf. You are responsible for ensuring that any such individual or legal entity complies with this AUP.

This AUP is in addition to the Agreement under which Leapwork provides the Products to you, including the Master Subscription Agreement ("MSA") available at https://www.leapwork.com/legal/terms-msa and the usage restrictions and limitations provided therein. Any capitalized terms in this AUP shall have the meaning as set out in the MSA.

By using our Products, you agree to comply with this AUP. Failure to do so may result in revocation of your rights to our Products as granted under the Agreement and/or termination of the Agreement. For the avoidance of doubt, non-compliance with this AUP may, at Leapwork's discretion, be considered a material breach of the Agreement.

Acceptable use

You may use our Products in a lawful, secure and responsible manner and as specified in the applicable Agreement and Order Form. You can find more information about the use and functionalities of the Products in the Documentation.

You may use our Products only in controlled environments that do not interfere with your live or production environments or systems. This applies to all uses of our Products, including, but not limited to, test automation and robotic process automation (RPA) activities.

You may upload or process Customer Data when using our Products only in compliance with applicable data protection and confidentiality obligations under the Agreement. Any data used within the Products should be anonymized, pseudonymized, or otherwise non-identifiable.

You may use AI features of the Products in compliance with the AI Features Addendum available at https://www.leapwork.com/legal/ai-features-addendum. You must ensure that all AI-driven activities comply with this AUP and the Addendum.

Unacceptable use

This section outlines activities that constitute unacceptable use of or access to our Products, Documentation and Deliverables. In accordance with the Agreement, note that using the Products in any of the ways described below may affect their performance, and Leapwork may not be able to guarantee functionality, warranties, or indemnities in such cases. You must therefore refrain from the following actions:

  • Use the Products in violation of any applicable federal, state, or local law, regulation, or rule.
  • Use or copy the Products or Documentation (wholly or partially) save for the activities and purposes as expressly set out in the Agreement with Leapwork.
  • Modify, translate, adapt, or otherwise create derivative works or improvements of the Products or Documentation (or any part thereof). The Products, Documentation, and any Deliverables are provided to you solely under license as granted in the Agreement.
  • Combine or incorporate the Products (or any part thereof) with or in any programs or software not mentioned in the Documentation without written approval from Leapwork.
  • Reverse engineer, disassemble, decompile, decode, or otherwise attempt to derive or gain access to any of our Source Code.
  • Delete, alter, or obscure any trademarks, copyright, trademark, patent or other proprietary or Intellectual Property Rights notices from the Products or the Documentation including any copies of them.
  • Use, insert, process, access, connect or handle the Products with live or production Customer Data or in a production environment or request or instruct Leapwork personnel (including Professional Services) to do so. Leapwork takes no responsibility for data loss or other damage associated herewith.
  • Rent, lease, lend, sell, sublicense, distribute, or otherwise make available any part of the Products, Documentation or Deliverable, to any person or entity, including any subcontractor, independent contractor, Affiliate, or service provider without Leapwork's written approval.
  • Use the Products in connection with the design, construction, maintenance, or operation of any hazardous environments or programs that could result in personal harm, discrimination, infringement of rights or safety, death, or environmental damage.
  • Access or use the Products for purposes of competitive analysis of the Products, for the development of a competing software product or service or any other purpose that is to Leapwork's commercial disadvantage.
  • Use any method, software, or device to bypass or circumvent the usage limits or licensing scope defined in your Order Form.
  • Attempt to bypass or disable any security or licence controls, or interfere with, hack, or disrupt the Products or related systems and infrastructure.
  • Alter or disguise the origin of any Customer Data transmitted through the Products, including by forging headers or manipulating identifiers.
  • Use the Products in any way that from time-to-time falls, or may reasonably be expected to fall, within the definition of a "high-risk AI system" under the EU Artificial Intelligence Act or similar applicable regulation. This includes, without limitation, any development, testing, deployment, or use related to biometric identification, critical infrastructure, education or training assessments, employment or HR decision-making, access to essential private or public services, law enforcement or public safety, migration or border control management, or judicial and legal decision-making.

Violations

If you become aware of any violation or potential violation of this AUP, report it to Leapwork immediately at legal@leapwork.com or through our whistleblower channel as described at https://www.leapwork.com/legal/whistleblower-policy. We take violations of this AUP seriously and will investigate and take appropriate action.

Violations of this AUP may, at Leapwork's discretion, constitute a material breach of the Agreement and have serious consequences, which may include, but are not limited to, the following actions:

  • Warning: In the event of a minor or first-time violation of this AUP, Leapwork may issue a warning to you. The warning serves as a notification of the violation and a request for immediate compliance. You will be informed about the concrete violation and any corrective actions required to rectify it.
  • Suspension: In cases of repeated or more severe violations, or where the violation poses a significant risk to the Products' security or integrity, Leapwork reserves the right to suspend access to the Products temporarily. During the suspension period, you will lose the ability to access the Products. The suspension duration will be determined at the sole discretion of Leapwork and may vary based on the severity of the violation.
  • Termination: For the most serious or repeated violations, Leapwork may choose to terminate access to the Products entirely. Termination is a last resort and will result in the permanent revocation of access to the Products. In such cases, you will no longer be able to use any of the Products or features.
  • Other Legal Actions: In situations where a violation of this AUP results in legal consequences or financial damages to Leapwork or third parties, Leapwork may take legal action to seek redress. Legal action may include, but is not limited to, reporting violations to law enforcement, initiating civil lawsuits, or pursuing remedies as permitted by applicable laws.

The specific consequences for a violation of the AUP will be determined by Leapwork on a case-by-case basis, considering the nature, severity, and frequency of the violation, as well as any applicable laws and regulations. Additionally, Leapwork reserves the right to take immediate action to protect the Products and its users from potential harm.

General Provisions

Leapwork may conduct audits to verify your compliance with this AUP in accordance with the Agreement. You agree to provide reasonable cooperation and access to relevant records or systems during such audits.

Leapwork reserves the right to amend this AUP at any time.

By using Leapwork's Products, you acknowledge and agree to comply with this Acceptable Use Policy. Failure to comply may result in the suspension or termination of your access to the Products as described in this AUP and the Agreement.
